KENDALL COUNTY A&M MOTHERS’ CLUB

BY-LAWS

 

ARTICLE I – NAME

The name of this organization shall be Kendall County A&M Mothers Club.

 

ARTICLE II – PURPOSE

The purpose of the organization shall be to nurture the growth of and contribute to the comfort and welfare of our Aggie students.

 

ARTICLE III – MEMBERSHIP

 

Section 1. An active member shall be the mother or guardian of a student or a former student. She shall have the privilege of holding office, voting and taking part in all the work of the club.

Section 2. An associate member is anyone who is not a mother or guardian of a student or a former student. As associate member may not hold the office of the President of her local club. She may not be a delegate with voting privileges on the Federation level. She shall have all other privileges of the club.

Section 3. Honorary members shall be those whom the club votes to honor for services rendered to the club or to Texas A&M University.

Section 4. All members of the organization shall pay yearly dues in the amount of Twenty Dollars ($20.00) on or before October 1 of each year or upon receipt of their application for membership. The organization will remit to the Federation Treasurer not later than March 15 of each year the amount of One Dollar ($1.00) for each member of the organization

Section 5. The delegates to the Federation Business Meetings shall consist of the President and as many additional members as allowed by the Federation. An Associate member may not be a delegate.

 

ARTICLE IV – OFFICERS

 

Section 1. The officers of the Club shall be: President or Co-Presidents, Recording Secretary, Corresponding Secretary, Treasurer, Historian, First Vice President, Second Vice President, Third Vice President, Fourth Vice President, Fifth Vice President, and President Honorarium. These officers shall be elected at the March meeting, installed at the May meeting, and take office upon installation. Officers shall hold office for one year or until their successors are elected. The President is a two year position. The first year the President serves in that capacity, the second year she will be the President Honorarium.

 

Section 2. Duties of the Officers.

 a. President or Co-Presidents shall preside at all meetings, act as ex-officio members on all committees except nominating committee.

b. Recording Secretary takes minutes or regularly scheduled meetings or finds a substitute, reads minutes at each business meeting and maintains for club files.

c. Corresponding Secretary handles all correspondence between club and Federation, send thank you notes, is responsible for student birthday recognition, stays up to date on graduating Aggies so they can be recognized.

d. Treasurer shall receive, hold, deposit and disburse all monies and give receipts for same, give report at business meetings and maintain said report in club files, pay Federation by March 15, calculate and pay State Sales Tax, monitor club rules to maintain tax free status.

e. Historian is responsible for taking picture at all activities and meetings, maintaining and keeping newspaper articles, and other interesting memorabilia that tracks the development of the Kendall County A&M Mothers’ Club in the scrapbook.

f. First Vice President shall preside at meetings in absence of President or Co-Presidents, and secures informative and educational programs the club three times a year. (Oct., Nov., Feb).

g. Second Vice President secures new members and maintains membership roster with current addresses and phone numbers, organizing, and producing a yearbook for members.

h. Third Vice President shall organize social activities of the club (New Mom Social, Howdy Night, Installation of Officers) and set up volunteers for bringing monthly refreshments to meetings.

i. Fourth Vice President is responsible for any fund raising activities the club might endeavor and coordinating members to help with all projects.

j. Fifth Vice President gathers and sends information for scholarships & notifies recipient. k. President Honorarium is a non-voting member of the executive board and acts as an advisor to the board.

Section 3. The Executive Board includes all officers listed above and will meet monthly or as needed. The President has the authority to call executive board meetings as deemed necessary.

 

ARTICLE V – STANDING COMMITTEES & SPECIAL COMMITTEES

 

Section 1. The standing committees, appointed by the executive board shall be:

a. Audit committee, appointed in March, to audit financial records of the Treasurer and present a report in May.

b. Nominating Committee, appointed in February, to present a slate of officers at the March business meeting.

c. Publicity committee appointed in May shall be responsible for contacting local papers to advertise upcoming meetings or events. The Historian shall be Chairman of this committee. d. Ways and Means committee is appointed as needed and shall recommend fundraising projects to the members for approval and implementation. The Ways and Means Chairman for each project is selected by the Way and Means committee.

e. Finance committee appointed in May to recommend the total budget to the Executive Board and present to the membership for approval in September. The Treasurer shall chair this committee.

f. Program committee appointed in May will provide speakers or programs. The First Vice President shall chair committee.

g. Membership Committee appointed in May will promote membership and encourage members to participate in the meetings of the organization and the Federation. Help produce a yearbook for each member in the fall or upon receipt of their application for membership. The Second Vice President shall chair this committee.

h. Social Committee appointed in May shall be in charge of refreshments. The Third Vice President shall chair this committee.

 i. Scholarship Committee appointed in January will make sure the application process is updated and carried through in a timely manner. The Fifth Vice President shall be Chairman of this committee.

 

Section 2. Special Committees – The executive board has the power to activate such special committees as shall be necessary for the proper conduct of the business of the club.

 

ARTICLE VI – MEETINGS

 

Section 1. Regular meetings shall be held monthly on the same day and week of each month, with that day and week to be determined by the membership. No meeting will be held in June or July of each year.

Section 2. The regular meeting in March shall be the annual meeting for the purpose of electing officers for other business which may arise.

Section 3. Special meetings may be called by the President.

Section 4. Six voting members shall constitute a quorum for the business meetings. Three members shall constitute a quorum at the executive board meetings.

 

ARTICLE VII – PARLIAMENTARY AUTHORITY

 

 Order of business and parliamentary procedure shall be followed as given in Robert’s Rules of Order – Revised, when they are not in conflict with these By-Laws.

 

ARTICLE VIII – AMENDMENTS

 

 These By-Laws may be amended by a two-thirds vote of those present, provided all members have been notified of the time and place of voting.

 

ARTICLE IX – RESTRICTION CLAUSE

 

No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth in these articles. No substantial part of the organization shall be for carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in or intervene in (including the publishing or organization of distribution of statement) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the organization shall not carry and other activities not permitted to be carried on(a) by an organization exempt from federal income tax under section 501(c)(3) or the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b) an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

 

ARTICLE X – DISSOLUTION

 

Upon the dissolution of the organization, the Executive Board shall, after paying or making provision for the payment of all the liabilities of the organization, dispose of all of the assets of the organization exclusively for the purpose of the organization such manner, or to such organization organized and operated exclusively for charitable and educational purposes as shall at the time quality as an exempt organization or organizations under section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Executive Board shall determine. Any such assets not so disposed of shall be disposed by the District Court in the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organization and operation exclusively for such purpose.
